Explanatory note

On April 11, 2019, Deutsche Bank AG published the Agenda for its 2019 Annual General Meeting of Shareholders (the “General Meeting”), which is scheduled to take place on Thursday, May 23, 2019. The Agenda was submitted to the SEC as Exhibit 99.1 of Deutsche Bank AG’s Report on Form 6-K dated April 15, 2019.

This Report on Form 6-K contains the following exhibit relating to the General Meeting as well information on the proposed dividend to be voted on thereat. This Report on Form 6-K and such exhibit are not intended to be incorporated by reference into registration statements filed by Deutsche Bank AG under the Securities Act of 1933. Information on Proposed Dividend

As described in Item 2 of the Agenda, the Management Board and Supervisory Board of Deutsche Bank AG are proposing to the General Meeting that a dividend for the 2018 financial year of € 0.11 per share be paid to holders of the Ordinary Shares of Deutsche Bank AG (Frankfurt Stock Exchange symbol “DBK”; ISIN DE0005140008; New York Stock Exchange Ticker Symbol “DB”; CUSIP D18190898). If such proposal is approved at the General Meeting, shareholders of record as of the date of approval will be entitled to receive the dividend on third German business day following the Annual General Meeting, i.e. on May 28, 2019 (note that, while Monday, May 27, 2019 is not a U.S. business day, it is a German business day). With respect to shares held through our U.S. register maintained by our U.S. transfer agent, the dividend will be converted into U.S. dollars at the applicable exchange rate on May 28, 2019 and be paid less applicable taxes. Shares traded on the New York Stock Exchange will trade “ex dividend” on the date following the date of approval (i.e., on May 24, 2019).
