EXPLANATORY NOTE
The purpose of this
registration statement on Form S-8 (this “Registration Statement”) is to register an aggregate of 1,075,000 shares
of Class A Common Stock, $0.01 par value (the “Class A Shares”), of Bluerock Residential Growth REIT, Inc. (the “Company”)
that may be offered pursuant to the Bluerock Residential Growth REIT, Inc. Second Amended and Restated 2014 Equity Incentive Plan
for Individuals (the “Plan”).

ITEM 6. INDEMNIFICATION OF DIRECTORS AND OFFICERS.
Under the Maryland General Corporation Law (the
“MGCL”), a Maryland corporation may limit the liability of directors and officers to the corporation and its stockholders
for money damages unless such liability results from actual receipt of an improper benefit or profit in money, property or services
or active and deliberate dishonesty established by a final judgment and which is material to the cause of action. Our charter contains
such a provision eliminating such liability to the maximum extent permitted by Maryland law.
In addition, the MGCL requires a corporation
(unless its charter provides otherwise) to indemnify a director or officer who has been successful, on the merits or otherwise,
in the defense of any proceeding to which he or she is made or threatened to be made a party by reason of his or her service in
that capacity and allows directors and officers to be indemnified against judgments, penalties, fines, settlements, and expenses
actually incurred in a proceeding unless the following can be established:
|

|
the act or omission of the director or officer was material
to the cause of action adjudicated in the proceeding, and was committed in bad faith or was the result of active and deliberate
dishonesty;
|
|
·
|
the director or officer actually received an improper personal
benefit in money, property or services; or
|
|
·
|
with respect to any criminal proceeding, the director or
officer had reasonable cause to believe his or her act or omission was unlawful.
|
However, under the MGCL, a Maryland corporation
may not indemnify for an adverse judgment in a suit by or in the right of the corporation or for a judgment of liability on the
basis that personal benefit was improperly received, unless in either case a court orders indemnification and then only for expenses.
Finally, the MGCL permits a Maryland corporation
to advance reasonable expenses to a director or officer upon receipt of a written affirmation by the director or officer of his
or her good faith belief that he or she has met the standard of conduct necessary for indemnification and a written undertaking
by him or her or on his or her behalf to repay the amount paid or reimbursed if it is ultimately determined that the standard of
conduct was not met.
We have entered into indemnification agreements
with each of our directors and our executive officers that obligate us to indemnify them to the maximum extent permitted by Maryland
law. The indemnification agreements provide that if a director or executive officer is a party or is threatened to be made a party
to any proceeding, by reason of such director’s or executive officer’s status as a director, officer or employee of
our company, we must indemnify such director or executive officer, and advance expenses actually and reasonably incurred by him
or her, or on his or her behalf, unless it has been established that:

the act or omission of the director or executive officer
was material to the matter giving rise to the proceeding and was committed in bad faith or was the result of active and deliberate
dishonesty;
|
|
·
|
the director or executive officer actually received an
improper personal benefit in money, property or services; or
|
|
·
|
with respect to any criminal action or proceeding, the
director or executive officer had reasonable cause to believe his or her conduct was unlawful.
|
Except as described below, our directors and
executive officers will not be entitled to indemnification pursuant to the indemnification agreement:
|

|
if the proceeding was one brought by us or in our right
and the director or executive officer is adjudged to be liable to us;
|
|
·
|
if the director or executive officer is adjudged to be
liable on the basis that personal benefit was improperly received; or
|
|
·
|
in any proceeding brought by the director or executive
officer other than to enforce his or her rights under the indemnification agreement, and then only to the extent provided by the
agreement and, except as may be expressly provided in our charter, our bylaws, a resolution of our board of directors or of our
stockholders entitled to vote generally in the election of directors or an agreement to which we are a party approved by our board
of directors.
|
Notwithstanding the limitations on indemnification
described above, on application by a director or executive officer of our company to a court of appropriate jurisdiction, the court
may order indemnification of such director or executive officer if:
|

the court determines the director or executive officer
is entitled to indemnification as described in the following paragraph, in which case the director or executive officer shall
be entitled to recover from us the expenses of securing such indemnification; or
|
|
·
|
the court determines that such director or executive officer
is fairly and reasonably entitled to indemnification in view of all the relevant circumstances, whether or not the director or
executive officer (i) has met the standards of conduct set forth above or (ii) has been adjudged liable for receipt of an “improper
personal benefit”; provided, however, that our indemnification obligations to such director or executive officer will be
limited to the expenses actually and reasonably incurred by him or her, or on his or her behalf, in connection with any proceeding
by or in the right of our company or in which the officer or director shall have been adjudged liable for receipt of an improper
personal benefit.
|
Notwithstanding, and without limiting, any other
provisions of the indemnification agreements, if a director or executive officer is a party or is threatened to be made a party
to any proceeding by reason of such director’s or executive officer’s status as a director, officer or employee of
our company, and such director or executive officer is successful, on the merits or otherwise, as to one or more but less than
all claims, issues or matters in such proceeding, we must indemnify such director or executive officer for all expenses actually
and reasonably incurred by him or her, or on his or her behalf, in connection with each successfully resolved claim, issue or matter,
including any claim, issue or matter in such a proceeding that is terminated by dismissal, with or without prejudice.
In addition, the indemnification agreements
require us to advance reasonable expenses incurred by the indemnitee within ten days of the receipt by us of a statement from the
indemnitee requesting the advance, provided the statement evidences the expenses and is accompanied by:

a written affirmation of the indemnitee’s good faith
belief that he or she has met the standard of conduct necessary for indemnification; and
|
|
·
|
a written undertaking to reimburse us if a court of competent
jurisdiction determines that the director or executive officer is not entitled to indemnification.
