(1)  The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $15.70 to $15.725 per share, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
(2)  An aggregate of 131,717 stock options were granted to the reporting person on April 7, 2010. The dates on which those options became exercisable are as follows: 16,129 of the options were immediately exercisable on the grant date; 24,193 of the options became exercisable in three approximately equal installments on each of July 3, 2010, October 2, 2010 and January 1, 2011; and 91,395 of the options became exercisable in three equal installments on each of April 7 2011, April 7, 2012 and April 7, 2013.
