Explanation of Responses:
(1) The reporting person received 89,715 and 36,843 shares of Series A1 Preferred Stock from the Issuer as payment for the obligation of CIM Urban Partners, L.P. ("CIM Urban"), a wholly-owned indirect subsidiary of the Issuer, to pay the reporting person a management fee in respect of the fourth quarter of 2021 and the first quarter of 2022, respectively, pursuant to the investment management agreement between the reporting person and CIM Urban.(as modified by the Fee Waiver dated January 5, 2022)
