                                 AGM STATEMENT                                 

At today's Annual General Meeting of Parkwood Holdings plc, the four ordinary
and two special resolutions put to shareholders were passed.

In addition, as previously announced, the Group confirmed that Edwin Lee, who
has been a Non Executive Director of Parkwood since its formation in 1992, is
stepping down as a Group Director with effect from today's date. The Chairman
today put on record his thanks for Edwin's significant contribution to the
Group over this period. Edwin will continue to be involved with the Group as a
Non Executive Chairman of the Healthcare Division.

Parkwood is also pleased to announce the appointment of Sarah Kling as a new
Non Executive Director with immediate effect. Sarah has extensive experience in
the field of human resources and employee benefits' planning, including several
years as a partner with KPMG in their "Human Capital" practice. As a large
employer, the Group expects Sarah's skills to add significant value at the
Group Board level. Sarah is not currently a director of any other company and
there are no matters relating to this appointment requiring disclosure under
the Listing Rules.

Finally, the Group is pleased to confirm that trading to date in the year 2003
is in line with the Board's expectations.

Parkwood Holdings plc specialises in providing outsourced services to the
public sector across the United Kingdom under long term contracts. Its three
main areas of operation are as follows:

  * Glendale - The management of parks and open spaces for a predominantly
    local authority client base. This operation is currently being expanded
    into related "green" businesses under the "Think Green - Think Glendale"
    logo.
   
  * Parkwood Leisure - The management of a diverse range of leisure facilities,
    again predominantly for local authority clients. This Division is also the
    beneficiary of most of the Group's contracts won under the PFI procurement

  * Parkwood Healthcare - The provision of non emergency patient transport to
    NHS Trusts under the "National Ambulance Service" banner, together with the
