The Remuneration Committee approved on 14th July 2006 the granting by the
Company of awards under the terms of the Vp - Long Term Incentive Plan to each
of the following directors: J F G Pilkington - 102,000 notional shares, N A
Stothard - 88,500 shares and M J Holt - 51,000 shares.



The awards will vest only if performance targets are achieved or exceeded during
the period from 1st April 2006 to 31st March 2009.
