  Lifeskills entered into an agreement dated 9 March 2012 
  with Stephanie Manuel, Mazoor Ishani and Richard Dawson 
  to, conditional on the Offer becoming or being declared 
  unconditional, acquire 1,748,322 Ordinary Shares from them 
  in consideration of the issue of loan notes and shares 
  in Lifeskills at a price equivalent to the Offer Price. 
 
  The following shares are subject to the agreements discussed 
  above.
