THE PHOENIX IT GROUP PERFORMANCE SHARE PLAN 2004

This notification is made in accordance with DTR 3.1.4(1)(a) and (c).

On 7 December 2012, the following awards ("Awards") over ordinary shares in the Company were made under the Phoenix IT Group Performance Share Plan 2004 (the "Plan") to Directors of the Company:

The vesting of an Award is ordinarily subject to continued employment of the participant and the satisfaction of performance conditions set by the Remuneration Committee of the Company over a three year performance period.

The Company was informed of the above transactions relating to Awards on 7 December 2012.
