               Phoenix IT Group plc ("Phoenix" or the "Company")

                             Director Shareholding


The Company was today notified that on 19 January 2006 Nick Robinson sold
2,649,480 ordinary shares in the Company at 285 pence per share.  The total
number of shares disposed represented 4.5% of the Company's issued share
capital.  The shares were disposed of for personal reasons.


Following the disposal, Nick Robinson's interest in the Company is now over
6,163,265 ordinary shares, representing 10.4% of the Company's issued share
capital.


Nick Robinson commented, "Recently I have had to sell a number of shares for
personal reasons.  The share sale yesterday brings to completion the required
disposals.  I continue to be very excited about the prospects for, and committed
to, Phoenix IT Group."


This notification relates to both a transaction notified in accordance with
3.1.4R(1)(a) of the Disclosure Rules and a disclosure made in accordance with
section 324 (as extended by section 328) of the Companies Act 1985.
