   Circular re. Acquisition of CCL Leisure Limited and its Subsidiaries (the
                                 "Acquisition")

Further to the announcement on Friday 16 April 2004, the Directors are pleased
to announce that a circular with respect to the Acquisition has today been
posted to shareholders and an extraordinary general meeting convened for 10 May
2004. A copy of the Circular has been submitted to the UK Listing Authority, and
