Issue of Equity

The Company has issued and allotted, subject to admission, 40,000 new ordinary
shares of 10p each ("Shares") under the Company's Enterprise Management
Investment Scheme.  The consideration for the Shares is as follows:

PROACTIS Holdings PLC Enterprise Management Investment Scheme         10,000               4.80p


The Shares will rank equally with the existing ordinary shares of the Company.
Application has been made for the Shares to be admitted to AIM. Trading is
expected to commence on AIM on 15 June 2007 ("Admission").  Following Admission
the total number of ordinary shares in issue will be 30,182,810.
