                             Re: Board Constitution


The Directors wish to announce the resignation of Mr. Hussain J Al Nowais from
the Board of Directors with effect from the 27th September 2005. Mr. Hussain J
Al Nowais resigned from the Board in order to pursue other business interests.

Mr. Walid Chatila has been appointed to the Board with effect from 27th
September 2005, subject to Guernsey Financial Services Commission approval. Mr.
Chatila has previously acted as an Alternate Director for Mr. Hussain J Al
Nowais.
