Society holds 3,125,000 ordinary 25p shares, as beneficial owner.  At any one
time, this holding may be the subject of our stock-lending activities.  To the
extent that such shares are not lent, the exercise of the voting rights attached
to the shares are not subject to any agreement and such are only exercisable by
us.
