                NEW CITY HIGH YIELD FUND LIMITED (the "COMPANY")


voting rights and capital

The Board confirms that (i) 99,022,414 Ordinary Shares have been issued pursuant
to the scheme for the voluntary winding up of NCHYT and rollover of NCHYT
Shareholders interests into the Company and (ii) 27,674,414 Ordinary Shares have
been issued, in aggregate, pursuant to the Placing and Offer for Subscription.

Accordingly, the Company's issued share capital consists of 126,696,828 Ordinary
Shares with voting rights.  This figure may be used by Shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.

Admission of the Ordinary Shares issued pursuant to the Scheme, the Placing and
the Offer for Subscription to the Official List of the UK Listing Authority is
expected to become effective, and dealings in such shares on the London Stock
Exchange's Main Market are expected to commence, at 8.00 a.m. on 7 March 2007.
