Matrix Communications Group plc has received notification of the following
interest in its ordinary share capital:

On the 25th of August 2005, Mr A I Smith, Chief Executive Officer, purchased
10,000 ordinary shares in the Company. He now holds 7,222,233 shares
representing approximately 19.2% of the issued share capital.

On the 25th of August 2005, Mr A C Weaver, Chief Operating Officer, purchased
10,000 ordinary shares in the Company. He now holds 1,660,000 shares
representing approximately 4.4% of the issued share capital.
