RESULT OF SHARE DIVIDEND ALTERNATIVE SCHEME
 
Following approval of the scrip dividend alternative scheme
(the  "Scheme") at the Company's AGM, valid elections  were
made (by shareholders representing approximately 65% of the
issued  share capital), in respect of 253,002 new  ordinary
shares  of 5p each in lieu of the Company's final  dividend
of  0.75p per ordinary share.  The new Ordinary Shares have
been allotted at a price of 39.3p per share, as set out  in
the circular to shareholders dated 19 October 1998.
 
The  new  Ordinary Shares allotted to directors  under  the
Scheme and their resultant shareholdings, are as follows:

Application  has  been  made for the  new  Ordinary  Shares
allotted  under the Scheme, which rank pari  passu  in  all
respects   with  the  Company's  existing  issued  Ordinary
Shares,  to be admitted to trading on AIM.  It is  expected
that  the first day of dealings in the new Ordinary  Shares
will  be  25 November 1998.  CREST stock accounts  will  be
credited on the same day.
