RESULTS OF ANNUAL GENERAL MEETING ("AGM"), EXTRAORDINARY GENERAL MEETING ("EGM") 
                   AND SEPARATE MEETING OF WARRANTHOLDERS

The Board of Medal Entertainment & Media plc (the "Company") announces that, at
the AGM held today, shareholders passed all resolutions set out in the notice of
AGM sent to shareholders on 2 August 2002.  At the EGM, held immediately after
the AGM, shareholders passed all the resolutions set out in the notice of EGM
sent to shareholders on 2 August 2002 save for resolution numbered 3 of the
notice, relating to the change of name of the Company which was not proposed by
the Board to shareholders.  The Company's name will remain unchanged.


The Board also announces that, at the separate general meeting of the holders of
warrants held today, warrantholders passed the resolution set out in the notice
of general meeting sent to the holders of warrants on 2 August 2002.



The Company's Existing Ordinary Shares will remain admitted to trading on AIM
until Friday, 30 August 2002 which will allow the Company time to gather the new
funds that it is raising from the Placing and from Barclays Bank plc which are
required for Completion of the Acquisitions.  The Company has applied to the
London Stock Exchange for its entire enlarged share capital comprising the
2,142,868 Existing Ordinary Shares, the 4,857,857 Placing Shares and the
2,142,857 Initial Consideration Shares to be admitted to trading on AIM from
Friday, 30 August 2002.  In addition, the Company has also applied to the London
Stock Exchange for admission to trading on AIM of the 2,207,804 Existing
Warrants, 2,142,857 Consideration Warrants and 4,857,857 Placing Warrants from
the same date.  Completion of the acquisitions of Fountain Television Limited
and Leisureview Limited is expected to take place on Friday, 30 August 2002.

2002 have the same meaning when used in this announcement.
