PRIORY  HOSPITALS GROUP LTD AND ENTERPRISES UNDER THE  CONTROL OF
                  CHARTER MEDICAL OF ENGLAND LTD

                     REFERENCE LAID ASIDE

The  Monopolies  and Mergers Commission have  laid  aside  the
reference  of  the  proposed acquisition by  Priory  Hospitals
Group Ltd of enterprises carried on by or under the control of
Charter Medical of England Ltd that was made to them on 2 June
1997 by the Secretary of State for Trade and Industry.

It  appears  to the Commission that the proposal to  make  the
arrangements  mentioned in the terms  of  reference  has  been
abandoned.  The Commission have, accordingly, with the consent
of the Secretary of State, laid the reference aside.
