                Management Consulting Group PLC ("the Company")

                             Director Shareholding


The Company was notified on 4 September 2002 that Mr R.G. Cara, a director of
the Company, has increased his holding of Ordinary Shares of 25p each in the
Company ("Ordinary Shares") through the exercise of share options.


Mr Cara has increased his holding by a net amount of 136,054 Ordinary Shares
representing 0.07 per cent. of the total issued share capital of the Company.
This has been accomplished by the exercise on 4 September 2002 of options over
400,000 Ordinary Shares together with the sale on the same day of 263,946 of the
Ordinary Shares thereby acquired. The options were at exercise prices of 25p per
Ordinary Share (100,000 Ordinary Shares) and 30p per Ordinary Share (300,000
Ordinary Shares).  The 263,946 Ordinary Shares were sold in order to fund the
exercise of the 400,000 options and the tax liability resulting from the
exercise of those options.  The 263,946 Ordinary Shares were sold at a price of
73.5p realising  #194,000 before dealing expenses.


Following these transactions Mr Cara has a beneficial interest in the Company's
issued ordinary share capital of 506,858 Ordinary Shares representing 0.27 per
cent. of the Company's total issued ordinary share capital.


Application has been made to the London Stock Exchange and UK Listing Authority
for 400,000 Ordinary Shares to be admitted to trading and to the Official List
pursuant to the exercise of Mr Cara's options.  Admission is expected to occur
on 10 September 2002.
