                            DIRECTORS SHAREHOLDING

The Company was notified on 15 January 2002 that Mr. G R Mackenzie, a director
of the Company had purchased 33,334 Ordinary Shares of 25p each in the company
("Ordinary Shares") at a price of 67p on 15 January 2002. This purchase
represents 0.03% of the total issued ordinary share capital.


Following this acquisition Mr. Mackenzie has a beneficial interest in the
Company's issued ordinary share capital of 150,000 Ordinary Shares
representing 0.12% of the Company's total issued ordinary share capital.
