                            DIRECTORS SHAREHOLDING





The Company was notified on 19 November 2001 that Mr. William Turner, a
director of the Company, had purchased 83,334 Ordinary Shares of 25p each in
the company ("Ordinary Shares") at a price of 64.5p on 16 November 2001. This
purchase represents  0.07% of the total issued ordinary share capital. The
shares will be registered in the name of Wimtwo Incorporated and will form
part of Mr. Turner's beneficial interest.



Following this acquisition Mr. Turner has a total interest in the Company's
issued ordinary share capital of 1,250,000 Ordinary Shares representing 1.03%
of the Company's total issued ordinary share capital.
