                            DIRECTORS SHAREHOLDING


The Company was notified on 16 November 2001 that Mr. J P Bolduc, a director
of the Company had purchased 100,000 Ordinary Shares of 25p each in the
company ("Ordinary Shares") at a price of US$0.8 (approximately 56p) on 15
November 2001. This purchase represents  0.08% of the total issued ordinary
share capital.

Following this acquisition Mr. Bolduc has a beneficial interest in the
Company's issued ordinary share capital of 800,000 Ordinary Shares
representing 0.66% of the Company's total issued ordinary share capital.
