                                  AGM RESULTS

KBC announces that at the Annual General Meeting held on 22 April 2004 all
resolutions were passed on a show of hands.

At the meeting the Chairman, Christopher Powell-Smith, made the following
statement:

Update
The strategic initiatives commenced last year continue with the aim of getting
closer to our customer base and building stronger relationships for the future.
At the same time investment in improved services and software tools is being
made to help to ensure that the rejuvenation of the core consulting business is
successful. Building on these foundations, 2004 will continue to be a year of
transition and restoration of operational and business stability. However, we
expect that a continuing US dollar weakness would have an adverse effect on the
sterling reported financial performance of the business.

Current expectations for the first half of 2004 are slightly behind that
reported in the second half of last year, although well ahead of the
corresponding period in 2003. The outlook for the second half of 2004 is for
performance to be maintained at around the same level as the first half of 2004
while the transition continues and the prospects for an improved performance in
2005 are strengthened.

Broker Appointment
Finally, the Board has today approved the appointment of Arden Partners to act
as its sole corporate brokers and financial advisers. We look forward to working
with Arden as we develop KBC's business and as we seek to make further
appointments to the Board in line with the recommendations of the revised
Combined Code on Corporate Governance and to provide for orderly succession.
