On 7 November 2006 the Company announced the acquisition of Veritech Inc, a
leading US energy consultant. The initial consideration was satisfied in part by
the issue of KBC shares worth $500,000 at a price calculated as the average
closing price of the Company's shares on the 20 dealing days prior to
completion. 

Accordingly 791,847 ordinary shares of 2.5p each have been issued and allotted.
Application has been made to the London Stock Exchange for these shares to
be admitted to AIM and trading is expected to commence on 14 November 2006.
