    THE PROPORTION OF THOSE SHARES WHICH WILL VEST IS RELATED TO THE PERFORMANCE
OF THE GROUP OVER A 3-10 YEAR PERIOD. THE TARGET IS THAT, OVER A PERIOD OF THREE
OR MORE YEARS ALWAYS BEGINNING WITH THE FINANCIAL YEAR OF THE COMPANY IN WHICH
THE OPTION WAS GRANTED, THE COMPANY'S EPS MUST GROW BY BETWEEN 5% AND 9% PER
ANNUM ABOVE INFLATION. IF THE EPS INCREASE IS EXACTLY 5% PER ANNUM ABOVE
INFLATION, THE DIRECTOR MAY EXERCISE THE OPTION OVER 60% OF THE SHARES. IF THE
