                           Talks Announcement


Cassell  announces that it is in talks which may or may not  lead  to  a
cash offer for the company being made at a premium to the 100p per share
being offered by Macmillan Publishers Limited.  The Directors will  make
another announcement in due course.

Pending  resolution of these discussions, shareholders  are  advised  to
take no action.
