                Transaction in Own Shares & Total Voting Rights                

The Company announces that, pursuant to its general authority by shareholders
of the Company on 20 May 2008 to make market purchases of its own shares, the
Company acquired 18,867 Ordinary shares on Friday 23 May 2008 at an average
price of 357.41098 pence per Ordinary share, with the highest price of 360.00
pence and the lowest price of 349.00 pence. The purchased shares will be
cancelled.

Following the above transactions the Company now has 66,998,794 Ordinary shares
in issue, excluding shares held as treasury shares, and the number of shares
held as treasury shares is 7,114,209. Therefore the total number of voting
rights in CLS Holdings plc is 66,998,794.
