                Transaction in Own Shares & Total Voting Rights                

The Company announces that, pursuant to its general authority by shareholders
of the Company on 22 May 2007 to make market purchases of its own shares, the
Company acquired 33,609 Ordinary shares on 13 May 2008 at an average price of
337.99 pence per Ordinary share, with the highest price of 338.0 pence and the
lowest price of 336.25 pence. The purchased shares will be cancelled.

Following the above transactions the Company now has 67,003,548 Ordinary shares
in issue, excluding shares held as treasury shares, and the number of shares
held as treasury shares is 7,439,209. Therefore the total number of voting
rights in CLS Holdings plc is 67,003,548.
