Inspec Group plc (the "Company") have today received the
following letter in response to an enquiry under Section 212
of the Companies Act 1985 (the "Act").  For the purpose of
Sections 198 to 202 of the Act, 7,195,089 Ordinary Shares in
the Company represents 4.08 per cent. of the Company's issued
share capital:

Further to your letter dated 21st May 1998, we can confirm we
are holding in a nominee capacity only 7,195,089 ordinary

No special agreement or arrangements exists with regard to the
exercise of rights, other than the normal arrangements between
a principal and nominee.

To the best of our knowledge neither we nor our principals are
or have been parties to any agreement to which Section 204 of
the Companies Act applies.

To the best of our knowledge the shares are held for portfolio
investment purposes.
