CEDAR GROUP PLC ("the Company")

PLACING OF 1,666,820 NEW ORDINARY SHARES TO RAISE #1.8 MILLION ("the Placing")

Cedar Group plc announces that 1,666,820 new ordinary shares of 5 pence each in
the Company ("the Placing Shares") have been placed with institutional investors
at a price of 110 pence per share to raise approximately #1.8 million before
expenses.  The Placing has been effected to provide additional working capital.

Application will be made to the London Stock Exchange for the Placing Shares to
be admitted to the Official List.  The Placing Shares will rank pari passu with
the existing ordinary shares of 5 pence each in the share capital of the Company
save that the Placing Shares will not be entitled to receive the final dividend
in respect of the year ending 31 March 1999.

The Placing is conditional, inter alia, on the admission of the Placing Shares
to the Official List of the London Stock Exchange becoming effective, which is
expected to occur on 8 April 1999, when dealings in the Placing Shares are
expected to commence.
