EXPLANATORY NOTE

This registration statement is being filed to register an additional $500 million in deferred compensation obligations. In accordance with General Instruction E to Form S-8, this registration statement incorporates by reference the contents of Registration Statement No. 333-224254 on Form S-8 filed by UnitedHealth Group Incorporated (the “Company”) on April 12, 2018 relating to the UnitedHealth Group Executive Savings Plan (the “Plan”).
