Item 5.07. Submission of Matters to a Vote of Security Holders.

On June 21, 2022, Pebblebrook Hotel Trust (the "Company") reconvened its 2022 Annual Meeting of Shareholders (the "Annual Meeting"). As previously disclosed, the Company initially convened the Annual Meeting on May 16, 2022 and held votes regarding Proposals 1, 2 and 4, by which all of the trustee nominees were elected, the selection of the independent registered public accountants was ratified and the maturity date of the Company’s equity incentive plan was extended, respectively.

On June 21, 2022, the Company held a vote on the sole remaining proposal for the Annual Meeting. The Company’s shareholders did not approve, in an advisory and non-binding vote, of the compensation of the Company’s named executive officers. The result of the voting on "Proposal 3: Advisory Vote on the Compensation of Our Named Executive Officers" was as follows:
