(2) Shares are held directly by Lewis Cirne and Kirsten L. Vliet, as Trustees of the Cirne Family Revocable Trust UAD March 20, 2012.
(3) The shares are held directly by J.P. Morgan Trust Company of Delaware, as Trustee of the Cirne Family 2012 Irrevocable Trust.
(4) The vesting of the PSU Award was subject to the achievement of certain performance-based criteria by the Reporting Person and Issuer through the Issuer's fiscal year ending March 31, 2022 (the "Performance Period"). The PSUs vested at the end of the Performance Period and were settled for shares of Common Stock on April 19, 2022, following certification of the achievement of the criteria by the Issuer.
