(1) | Represents shares of Common Stock received upon settlement of a performance share unit award (the "PSU Award"). |
(2) | The Reporting Person made a prior election to sell only the number of shares of common stock necessary to cover applicable tax withholding obligations realized upon the vesting of restricted stock units, as well as any related brokerage commission fees. |
(3) | The shares were sold at prices ranging from $70.09 to $70.91. The reporting person will provide upon request to the SEC, the issuer or security holder of the issuer, full information regarding the number of shares sold at each separate price. |
(4) | The vesting of the PSU Award was subject to the achievement of certain performance-based criteria by the Reporting Person and Issuer through the Issuer's fiscal year ending March 31, 2022 (the "Performance Period"). The PSUs vested at the end of the Performance Period and were settled for shares of Common Stock on April 19, 2022, following certification of the achievement of the criteria by the Issuer. |
