On May 4, 2011, the companies announced a definitive merger
agreement involving an all-cash transaction valued at approximately
$4.9 billion. Under the proposed buyout, Varian Semiconductor
shareholders will receive only $63 in cash for each share of Varian
Semiconductor/VSEA common stock they hold.
The firms are investigating the fairness of the proposed
transaction to Varian Semiconductor shareholders and whether Varian
Semiconductor’s Board of Directors acted in the shareholders’ best

Semiconductor’s Board of Directors adequately considered all viable
alternatives and properly shopped the company before entering into
the acquisition agreement.
