Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 21, 2023, Mr. Scott Raskin resigned from the Board of Directors of Presto Automation Inc. (the “Company”), effective immediately. Mr. Raskin’s resignation was not the result of any disagreement with the Company or its management with respect to any matter relating to the Company’s operations, policies or practices.
