Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
Effective July 17, 2019, Gregg Polle resigned from his position as a
director of Empire Resorts, Inc. (the Company) for personal reasons. To ensure the continued independence of the Companys Board of Directors, effective on the same day, Ryan Eller, the Companys President and Chief Executive
Officer, resigned from his position as a director of the Company. There were no disagreements between the Company and Mr. Polle or Mr. Eller on any matters relating to the Companys operations, policies or practices. Mr. Edmund
Marinucci, a director of the Company, was appointed to the Audit Committee of the Board of Directors to fill the vacancy created on that committee by Mr. Polles resignation.
