Explanation of Responses:
( 1)  The option vests at the rate of 1/12th of the shares subject to the option each month beginning on June 19, 2009, subject to the reporting person's continued service to the company.
( 2)  Each restricted stock unit represents a contingent right to receive one share of BBND common stock.
( 3)  The restricted stock units vest in two (2) equal bi-annual installments beginning on November 19, 2009. Vested shares will be delivered to the reporting person on or about each such vesting date.
