Regulation FD Disclosure

On June 28, 2022, Imperial Oil Limited (the “company”)
announced by means of a press release that together with ExxonMobil
Canada, it has entered into an agreement with Whitecap Resources
Inc. for the sale of XTO Energy Canada, which includes assets in
the Montney and Duvernay areas of central Alberta. A copy of the
press release is attached as Exhibit 99.1 to this report.
