Discharging Managerial Responsibilities ("PDMRs") have been made a
conditional award of performance shares of Shell plc under the Long
Term Incentive Plan ("LTIP"), subject to performance conditions
determined by the Remuneration Committee and Remuneration Committee
discretion, as set out below.
