Section 3 – Securities and Trading Markets
Item 3.02 Unregistered Sales of Equity Securities.
On January 7, 2009, Digital Angel Corporation (the “Company”) issued Donald Brattain 295,537 shares of the Company’s
common stock in exchange for certain manufacturing equipment owned by Brattain & Associates, LLC and related to the
Company’s business. Donald Brattain and Randolph Geissler, Destron Fearing Corporation’s Chief Executive Officer, are
partners in Brattain & Associates, LLC. The equipment was valued at $186,188.38 and the number of shares issued was
based on the closing price of the Company’s common stock on January 6, 2009. The shares of common stock were issued to
Mr. Brattain in a transaction exempt from registration under Section 4(2) of the Securities Act of 1933, as amended,
and Rule 506 promulgated thereunder.
