Item 5.07.

Submission of Matters to a Vote of Security Holders.
|
On May 19, 2010, State Street Corporation held its Annual Meeting of Shareholders for the following purposes:
|
|
|
to elect fourteen directors;
|
|
|
|
to approve a non-binding advisory proposal on executive compensation;
|
|
|
|
to ratify the selection of Ernst & Young LLP as State Streets independent registered public accounting firm for the year ending
December 31, 2010;
|
|
|
|
to vote on a shareholder proposal relating to the separation of the roles of Chairman and Chief Executive Officer; and
|
|
|
|
to vote on a shareholder proposal relating to a review of pay disparity.
|
The shareholders voted to elect the fourteen director nominees, to approve the non-binding advisory proposal on executive compensation
and to ratify the selection of the independent registered public accounting firm. The shareholders voted against approval of the shareholder proposals relating to the roles of the Chairman and Chief Executive Officer and a review of pay disparity.
The number of votes cast for or against and the number of abstentions and broker non-votes, as applicable, in connection with
each matter presented for shareholder consideration at the meeting, are set forth below:
