Item 5.02 Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 21, 2020, Christopher Eppel,
Vice President Finance, Chief Financial Officer, Treasurer and Corporate Secretary of FreightCar America, Inc. (the “Company”),
notified the Company of his resignation, effective January 31, 2021, in order to pursue new business opportunities. The Board of
Directors wishes to thank him for his tremendous service to the Company and wish him the very best in his new endeavors. The Company
has initiated a search process to identify Mr. Eppel’s successor.
