Explanation of Responses:
(1)  Each Restricted Stock Unit represents a contingent right to receive one share of common stock of the Issuer and are awarded under Issuer's current Stock Incentive Plan and subject to the terms of a Restricted Stock Unit Agreement.
(2)  Restricted Stock awarded to Mr. Arnoult in connection with his anticipated service as a director for the Company for the next 12 months. The forfeiture restrictions on the units shall lapse on March 9, 2020, and each Restricted Stock Unit will convert into one share of Cardtronics common stock at that time. In the event Mr. Arnoult's service as a director ends prior to such date, the units will be forfeited back to the Company.
