(1)	The stock option exercises reported in this Form 4 were effected under and pursuant to the Issuer's 2010 Equity Incentive Plan and the Stock Option Agreement between the Issuer and the Reporting Person dated May 8, 2020.
(2)	Granted 2020 pursuant to the Issuer's 2010 Equity Incentive Plan. The options vest over 24 months with 25% of the grant vesting on November 7, 2020, the six-month anniversary of the Vesting Commencement Date. Following the stock option exercises reported in this Form 4, 125,000 of these stock options remained vested and unexercised.
