Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 5, 2019, GlobalSCAPE, Inc. (the “Company”) announced the appointment of Mark C. Hood, the Company’s Executive Vice President of Operations, as the Company’s Chief Operating Officer, effective as of January 1, 2020. In connection with his promotion to Chief Operating Officer, the Company increased Mr. Hood’s salary from $242,050 to $275,000 effective as of January 1, 2020. In addition, on January 2, 2020 Mr. Hood will receive an award of options to purchase 100,000 shares of the Company’s common stock with a fair market value exercise price equal to the closing price per share of the Company’s common stock on the NYSE on the grant date, January 2, 2020.

Mr. Hood, age 55, has served as our Executive Vice President of Operations since May 2019 and previously as our Vice President of Operations from August 2018 to May 2019. Until August 2018, he served as Executive Vice President of Crossroads Systems, Inc. From February 2015 to July 2017, he served as Executive Vice President of Corporate Development and previously served as Executive Vice President of Corporate Communications, also at Crossroads Systems, Inc., from January 2013 to January 2015. From 2009 to 2013, Mr. Hood was founder and CEO of MCH Advisors, and helped early stage technology clients design and launch sales and marketing programs in high-growth markets. From 1995 to 2009, Mr. Hood was CEO of Network Consulting Services, a master sales agency he launched to integrate services from multiple telecommunications companies. He also held Series 7, 65, and 66 securities licenses and served as General Partner of two equity investment funds. Mr. Hood earned a BBA in Marketing from Sam Houston State University and a MS in Technology Commercialization from The University of Texas at Austin, McCombs School of Business.

Mr. Hood does not have any family relationships with any of the directors, executive officers, or any people nominated or chosen by the Company to become a director or executive officer. Mr. Hood is not a party to any transactions listed in Item 404(a) of Regulation S-K.
