Item 8.01 Other Events.
As previously announced, on March 30, 2017, TRC Companies, Inc. (the Company) entered into an Agreement and Plan of Merger (the Merger Agreement) by and among the Company, Bolt Infrastructure Parent, Inc., a Delaware corporation (Parent), and Bolt Infrastructure Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (Merger Sub), pursuant to which, and on the terms and subject to the conditions thereof, among other things, Merger Sub will merge with and into the Company (the Merger), with the Company continuing as the surviving corporation and as a wholly owned subsidiary of Parent. Parent and Merger Sub were formed by affiliates of New Mountain Partners IV, L.P., a fund affiliated with New Mountain Capital, L.L.C.
Pursuant to the terms of the Merger Agreement, the consummation of the Merger is conditioned upon, among other things, the expiration or termination of any waiting period applicable to the consummation of the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the HSR Act). On April 25, 2017, the U.S. Federal Trade Commission granted early termination of the 30-day waiting period under the HSR Act, with respect to the proposed Merger. The grant of early termination has the effect of satisfying the HSR Act condition under the Merger Agreement.
The consummation of the Merger remains subject to approval by the Companys stockholders and the satisfaction or waiver of customary closing conditions set forth in the Merger Agreement and described in the Companys preliminary proxy statement that was filed with the U.S. Securities and Exchange Commission (the SEC) on April 25, 2017.
