Explanation of Responses:
(1)  One-fourth of the total number of deferred stock units shall vest and be delivered on April 30th of each year commencing on April 30, 2018.
(2)  One-fourth of the total number of shares subject to the option shall vest and become exercisable on the 12-month anniversary of the April 24, 2017 grant date, and 1/16th of the total number of shares subject to the option shall vest and become exercisable each quarter thereafter until fully vested on April 24, 2021.
