Explanation of Responses:
( 1)	This represents a grant of restricted stock units ("RSUs"). The RSUs vest in full on the first anniversary of April 22, 2016 contingent on the Reporting Person's continuation in service on such vesting date.
( 2)	The options vest in three equal annual installments on the first, second and third anniversaries of April 22, 2016 contingent on the Reporting Person's continuation in service on each applicable vesting date.

Remarks:
The Reporting Person resigned as a director of SecureWorks Corp. effective September 7, 2016. As a result, the Reporting Person is no longer subject to Section 16 in connection with his transactions in the equity securities of SecureWorks Corp. and therefore will no longer report any such transactions on Form 4 and Form 5.
