Airlines, Inc. ("American") today announced that it has extended
its offer to exchange (the "Exchange Offer") (a) $506,746,000 aggregate face amount of Class A
Pass Through Certificates, Series 2013-1 (the "New Class A
Certificates") for an equivalent aggregate face amount of
outstanding Class A Pass Through Certificates, Series 2013-1 (the
"Old Class A Certificates"), which were privately placed on
March 12, 2013, (b) $156,632,000 aggregate face amount of Class B
Pass Through Certificates, Series 2013-1 (the "New Class B
Certificates") for an equivalent aggregate face amount of
outstanding Class B Pass Through Certificates, Series 2013-1 (the
"Old Class B Certificates"), which were privately placed on
March 12, 2013, and (c) $119,769,000
aggregate face amount of Class C Pass Through Certificates, Series
2013-1 (the "New Class C Certificates," and together with the New
Class A Certificates and the New Class B Certificates, the "New
Certificates") for an equivalent aggregate face amount of
outstanding Class C Pass Through Certificates, Series 2013-1 (the
"Old Class C Certificates," and together with the Old Class A
Certificates and the Old Class B Certificates, the "Old
Certificates"), which were privately placed on June 5, 2013. The
New Certificates have been registered under the Securities Act of
1933, as amended.
The Exchange Offer was originally scheduled to expire at
5 p.m. EDT, on July 18, 2014, unless extended. As of the
close of business on July 18, 2014,
approximately $503,839,000 in
aggregate face amount of Old Class A Certificates, $151,864,000 in aggregate face amount of Old
Class B Certificates and $119,706,000
in aggregate face amount of Old Class C Certificates have been
confirmed as tendered in exchange for like face amounts of the New
Class A Certificates, New Class B Certificates and New Class C
Certificates, respectively.
The new expiration date for the Exchange Offer is 5 p.m. EDT, July 25,
2014, unless further extended by American.
